1. Acceptance of Terms

By accessing or using the RetainPay AI platform ("Service"), operated by RetainPay AI UK Limited ("Company", "we", "us"), you agree to be bound by these Terms of Use. If you do not agree, you must not access or use the Service.

2. Description of Service

RetainPay AI provides an automated payment recovery platform that integrates with supported payment providers, including Stripe and Adyen, to retry failed subscription payments using intelligent timing and decline code analysis. The Service is provided on a success-fee basis — you are only charged a percentage of revenue we successfully recover on your behalf.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised access or use of your account.

4. Payment Provider Integrations

The Service requires connection to a supported payment provider via API credentials. By connecting a provider account, you authorise us to read relevant transaction data, process retry attempts on failed payments, and receive webhook notifications on your behalf. Provider credentials are encrypted at rest and never stored in plaintext.

5. Fees and Payment

RetainPay AI operates on a performance-based pricing model. We charge a success fee (currently 10%) only on revenue we actually recover. There are no upfront costs, monthly subscriptions, or minimum commitments. Invoices are generated monthly and payable within 14 days of issue.

6. Acceptable Use

• You must not use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• You must not attempt to reverse engineer, decompile, or disassemble any part of the Service.
• You must not interfere with or disrupt the integrity or performance of the Service.
• You must not attempt to gain unauthorised access to any systems or networks connected to the Service.

7. Intellectual Property

All intellectual property rights in the Service, including but not limited to the Decline Code Normalisation Database, Chrono-Retry engine, and associated software, are owned by RetainPay AI UK Limited. Nothing in these Terms grants you any rights in such intellectual property beyond the limited licence to use the Service.

8. Limitation of Liability

To the maximum extent permitted by law, RetainPay AI UK Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, or data, arising out of or in connection with your use of the Service. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

9. Data Processing

Our processing of personal data is governed by our Privacy Policy. We process transaction data solely for the purpose of providing the Service and comply with applicable data protection legislation, including the UK GDPR and the Data Protection Act 2018.

10. Termination

You may terminate your account at any time by disconnecting your payment provider integrations and contacting us. We reserve the right to suspend or terminate your access to the Service if you breach these Terms. Upon termination, any outstanding fees remain payable.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
